The Site is owned and operated by **Nebula Nova Inc.**, a Delaware corporation (“Nebula Nova,” “we,” “us,” or “our”). By accessing or using the Site in any way, you agree to be bound by these Website Terms and our **Privacy Policy** (available on the Site). If you do not agree, do not use the Site. > **Scope.** These Website Terms apply **only** to your use of the public-facing Site as a visitor or other unregistered user. If you access any restricted areas, dashboards, APIs, paid or free modules, referral or provider programs, or other services that require a login or separate enrollment (collectively, “Service(s)”), such use is governed by the **Service Terms** or other agreement you accept at signup or access time. If any conflict exists, the Service Terms control for the Services and these Website Terms control for the Site. *** ### 1. Eligibility The Site is intended for individuals **16 years of age or older**. No one under 16 may use the Site or submit personal information via the Site. If you are under 16, do not use the Site. ### 2. Site Content and License The text, images, video, audio, software, graphics, and other materials made available on or through the Site (collectively, “Content”) are owned by Nebula Nova or our licensors and are protected by U.S. and international intellectual property laws. Subject to these Website Terms, we grant you a **limited, revocable, non-exclusive, non-transferable, non-sublicensable** license to access and **display** the Content solely for your personal, non-commercial browsing of the Site. Except for this limited license, **no rights** to the Content or Site are granted. We may modify, remove, or add Content at any time without notice. ### 3. Prohibited Conduct (Site Use) You agree not to, and will not permit any third party to: (a) copy, modify, distribute, sell, or lease any part of the Site or Content; (b) reverse engineer or attempt to extract source code from the Site; (c) access or use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with others’ use; (d) use bots, scrapers, or other automated means to access the Site without our prior written consent; (e) upload, post, or transmit any malware, harmful code, or illegal, infringing, defamatory, or otherwise objectionable content; or (f) circumvent or violate any technical, rate-limiting, or access controls present on the Site. > **Note on Services and Free Modules.** If you access any **restricted-access Services** (including free, trial, or promotional modules) through or beyond the Site, such access is governed by the **Service Terms** (not these Website Terms). Those Service Terms typically prohibit production or high-throughput use of free modules, set **rate limits**, and permit **suspension or termination** for abusive or disruptive use. Attempts to evade gating or abuse free modules via the Site are also a violation of these Website Terms. ### 4. Feedback If you send us ideas, suggestions, or other feedback, you grant Nebula Nova a **perpetual, irrevocable, worldwide, royalty-free** license to use and exploit such feedback without restriction or compensation to you. ### 5. Third-Party Links and Services The Site may contain links to third-party websites or services. We do not control and are not responsible for third-party content, products, or services. Your use of third-party sites is at your own risk and may be subject to third-party terms. ### 6. Disclaimers To the maximum extent permitted by law, the Site and Content are provided **“as is”** and **“as available,”** without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and those arising out of course of dealing or usage. We do not warrant that the Site will be uninterrupted, secure, or error-free. ### 7. Limitation of Liability To the maximum extent permitted by law, **Nebula Nova and its affiliates, officers, directors, employees, agents, and successors** (collectively, the “Nebula Nova Parties”) shall not be liable for any **indirect, incidental, special, consequential, exemplary, or punitive damages**, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or relating to your use of the Site. In no event will the aggregate liability of the Nebula Nova Parties for all claims relating to the Site exceed **one hundred U.S. dollars (US $100)**. ### 8. Indemnity You agree to **defend, indemnify, and hold harmless** the Nebula Nova Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Website Terms; or (c) your infringement of any intellectual property or other rights of any person or entity. ### 9. Changes to the Site and to These Terms We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also revise these Website Terms from time to time. The “Effective Date” above will indicate when changes become effective. **Your continued use of the Site after the Effective Date constitutes your acceptance** of the revised Website Terms. ### 10. Termination and Suspension We may suspend or terminate your access to the Site at any time, with or without cause or notice, including for any violation of these Website Terms. Sections that by their nature should survive termination shall do so, including Sections 2, 4–12. ### 11. Governing Law; Venue These Website Terms are governed by and construed in accordance with the laws of the **State of Delaware**, without regard to its conflict of laws principles. You and Nebula Nova agree to the exclusive jurisdiction and venue of the **state and federal courts located in Delaware** for any dispute arising out of or relating to these Website Terms or the Site, and you consent to personal jurisdiction in those courts. > **Optional Arbitration/Class Action Waiver (If Enabled in Your Jurisdiction).** At our election, certain disputes may be subject to binding arbitration on an individual basis. If implemented, the arbitration agreement and class action waiver will be presented to you separately and will govern in the event of a conflict with this Section. ### 12. Export and Sanctions Compliance You represent that you are not located in, under the control of, or a national or resident of any country or entity embargoed by the United States, and that you are not on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws. ### 13. Assignment You may not assign or transfer these Website Terms, by operation of law or otherwise, without our prior written consent. We may assign these Website Terms without restriction. ### 14. Entire Agreement; Severability; Waiver These Website Terms constitute the **entire agreement** between you and Nebula Nova regarding the Site and supersede any prior or contemporaneous agreements on the subject. If any provision is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision. ### 15. In the event of any conflict, the **Service Terms** govern Services.* * **Account & Access.** Accounts are required for Services. You must keep credentials confidential and are responsible for all activity under your account. * **Usage Limits.** Services may include **rate limits** (e.g., requests-per-minute and tokens-per-minute). Exceeding limits may result in throttling or suspension. * **Free/Trial Modules.** Free modules are for **evaluation and interactive use only** and are **not designed for production** or unattended batch workloads. High-throughput use of free modules is prohibited and may lead to suspension. See our Free Models Policy and applicable Service Terms for detailed usage guidelines and enforcement procedures. * **Acceptable Use.** Prohibitions may include abuse of APIs, attempts to bypass gating, automated scraping, denial-of-service behavior, or use that disrupts platform stability. * **Suspension/Termination.** We may suspend or terminate access to Services for violations, to protect platform integrity, or as otherwise permitted by the Service Terms. * **Fees & Taxes.** Paid Services are billed per the pricing and terms in effect at purchase or renewal. * **Data & Privacy.** Processing of user data is described in the Privacy Policy and Service Terms (including regional addenda, if any). * **Service-Specific Addenda.** Certain modules may include service-specific terms or model cards with additional restrictions. *** ### Annex B — Forward-Looking and Beta Features (Optional Language) From time to time, the Site may reference product roadmaps or experimental features, which are **forward-looking statements** subject to change. **No commitment** is made to deliver any future functionality by any specific time or at all. Experimental or beta features may be provided **as-is** with limited or no support and may be discontinued without notice. > **Security & Roadmap Note (Optional).** We may evaluate **quantum‑safe cryptography** for certain control-plane communications and explore **quantum‑inspired scheduling** techniques to improve fairness and throughput. Any such features, if mentioned on the Site, are experimental and not guaranteed. ## Intellectual Property Rights ## Content You Submit When you submit content to MegaNova.ai, you are confirming that you either own the content (including all copyrights and rights of publicity) or have obtained all necessary permissions to submit it. You retain ownership of your content, but by submitting it, you give MegaNova.ai permission to use it in various ways, such as copying, displaying, selling, distributing, and modifying it, across any medium or technology now known or developed in the future. This permission is nonexclusive, worldwide, royalty-free, fully paid up, transferable, sublicensable, perpetual, and irrevocable. We may also share, sell this permission with others we have contracts with, and disclose the content to third parties if necessary. We may access, review, edit, and delete your content at any time and for any reason, especially to improve our services or if we believe the content violates our terms or any laws. ## Characters & Generations When you create a character using our services, you own that character. You also own any content (avatar, text, images, audio, or video) generated by your own interactions with that character. By using our services, you grant MegaNova.ai the right to use your character and generations and chats from that character in any way, including copying, displaying, selling, distributing, and modifying it, for any purpose, in any form or medium. This permission is nonexclusive, worldwide, royalty-free, fully paid up, transferable, sublicensable, perpetual, and irrevocable. When you interact with a character created by MegaNova.ai or another user, the character itself and other content remain the property of MegaNova.ai or the original creator. You grant MegaNova.ai the same broad rights to use the content generated from these chats. While MegaNova.ai has the right to and will use, sell, license the content generated through chats for the proper working of the service, promotion and this license, MegaNova.ai does NOT own the said chats and generations. ## Services Content, Software, and Trademarks The content and features of MegaNova.ai are protected by intellectual property laws. You agree not to use any automated methods to gather data from our services. If you are blocked from accessing our services, you agree not to attempt to bypass this block. The name and logos of MegaNova.ai are trademarks of MegaNova.ai. Other trademarks used on our services belong to their respective owners. Using these trademarks without permission is prohibited. The service and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by MegaNova.ai, its licensors or other providers of such material and are protected by Canada and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. The material may not be copied, modified, reproduced, downloaded or distributed in any way, in whole or in part, without the express prior written permission of MegaNova.ai, unless and except as is expressly provided in these terms & conditions. Any unauthorized use of the material is prohibited. ## Third-Party Material MegaNova.ai is not responsible for content created by third parties, including any errors, omissions, or any resulting loss or damage. AI-generated chats can be unpredictable, and you should evaluate and bear the risks of using any content. If you rely on this content, you do so at your own risk. We have the right to refuse or remove any content at our discretion, especially if it violates our terms or is deemed objectionable.
